GMPROSOUND EVENT PRODUCTION

1. ACCEPTANCE OF TERMS
By booking services or renting equipment from GMPROSOUND (“Company”), the client (“Client”) agrees to be bound by these Terms of Service. These terms apply to all quotes, proposals, invoices, and service agreements issued by the Company.
2. RENTAL RULES & USAGE
Property Ownership
All equipment remains the exclusive property of the Company at all times.
“As-Is” Condition
Equipment is provided in good working order. The Client is responsible for inspecting equipment upon delivery and/or setup. Any discrepancies must be reported immediately.
Prohibited Use
Equipment may not be moved, modified, repaired, or serviced by anyone other than Company personnel unless explicitly authorized in writing.
3. TECHNICAL & SITE REQUIREMENTS
Power Supply
The Client must provide stable, dedicated power circuits as specified in the Proposal. The Company is not liable for equipment failure, damage, or event interruption caused by tripped breakers, unstable voltage, or inadequate venue power.
Access
The Client must ensure clear and unobstructed access for loading and unloading at the agreed-upon times. Delays caused by venue access restrictions or “room not ready” conditions may result in wait-time fees of $150 per hour.
Safety Zone
The Client must provide a secure perimeter around front-of-house (FOH) mix positions, lighting rigs, truss systems, and stage equipment to prevent guest interference or unsafe contact.
4. DEPOSITS
A. Reservation Deposit
A deposit equal to twenty percent (20%) of the total contracted amount is required to reserve the event date, equipment, and crew.
If the total balance is not paid in full at the time of booking, the remaining balance must be paid no later than two (2) days prior to the event date.
Failure to make timely payment may result in suspension or cancellation of Services without liability to the Company.
B. Damage Security Hold
A $500 damage security deposit may be placed as a hold on the day of the event.
If, after the event concludes, no damage, loss, or issues are reported or discovered, the hold will be released the following business day.
If damage, loss, or missing equipment is identified, the Company reserves the right to retain part or all of the security deposit. If damages exceed the security deposit amount, the Client agrees to pay the remaining balance based on the current retail replacement value.
If equipment is broken, damaged, lost, or destroyed by the Client, guests, vendors, performers, or any third party, the deposit may be retained. The Client acknowledges that the deposit represents a reasonable estimate of damages and is not a penalty.
C. Force Majeure
The Company shall not be liable for cancellation, postponement, or interruption of the event for reasons beyond its reasonable control, including but not limited to client decisions, venue restrictions, weather conditions, power failure, acts of third parties, government orders, or public safety concerns.
The Company reserves the right to cancel Services if, after reasonable efforts to proceed, it determines that continuing would place its employees, contractors, or equipment at risk.
5. CANCELLATIONS, REFUNDS, CHANGES & RESCHEDULING
A. Cancellations & Refunds
Events scheduled within seven (7) days of booking:
Cancellations made within two (2) days prior to the event date result in forfeiture of the 20% deposit.
Cancellations made three (3) days or more prior to the event date may receive a refund of amounts paid minus the 20% deposit and a five percent (5%) processing fee.
Events scheduled thirty (30) days or more in advance:
Cancellations made within seven (7) days prior to the event date result in forfeiture of the 20% deposit.
Cancellations made eight (8) days or more prior to the event date may receive a refund of amounts paid minus the 20% deposit and a five percent (5%) processing fee.
The processing fee covers administrative costs and third-party payment processing charges and applies to any approved refund.
B. Changes & Rescheduling
Events scheduled within seven (7) days:
Changes or rescheduling requests made within two (2) days prior to the event date result in forfeiture of the 20% deposit.
Changes made three (3) days or more prior to the event date require a new deposit based on revised services, equipment, labor, delivery fees, or surcharges.
If the order was paid in full at the time of change, the 20% deposit is forfeited and any remaining balance will be refunded minus a five percent (5%) processing fee.
Events scheduled thirty (30) days or more in advance:
Changes or rescheduling requests made within seven (7) days prior to the event date result in forfeiture of the 20% deposit.
Changes made eight (8) days or more prior require a new deposit based on revised services and applicable fees.
If paid in full, the 20% deposit is forfeited and any remaining balance will be refunded minus a five percent (5%) processing fee.
Rescheduling is subject to equipment availability, crew availability, and scheduling capacity. The Company does not guarantee availability for alternate dates but will make reasonable efforts to accommodate requests.
6. OUTDOOR EVENTS & WEATHER
Weather Protection
For outdoor events, the Client must provide adequate overhead cover (tents or staging) to protect all electronic equipment.
Stop Authority
Company technicians reserve the right to immediately power down and protect equipment in the event of rain, lightning, or high winds. No refunds will be issued for weather-related interruptions.
Dust & Sand Conditions
Events held on beaches or in dusty environments may incur a cleaning surcharge.
7. LIABILITY & INSURANCE
Equipment Responsibility
From the moment of delivery until pickup, the Client assumes responsibility for the equipment and is liable for the full replacement cost if damaged by guests, performers, or acts of nature.
Insurance
The Company maintains professional liability insurance. Clients are strongly encouraged to obtain Event Insurance naming GMPROSOUND as an additional insured for high-value productions.
8. MEDIA & RECORDING
Promotional Use
Unless otherwise requested in writing, the Company reserves the right to photograph or record the event setup and production for portfolio and promotional purposes.
Content Responsibility
The Company does not claim ownership of Client event content and is not responsible for copyright infringement resulting from Client-selected music or visuals.
9. INDEMNIFICATION
The Client agrees to indemnify and hold harmless GMPROSOUND, its owners, employees, and contractors from any claims, damages, or liabilities arising from the event, including but not limited to:
Noise complaints
Hearing-related claims
Injuries resulting from stage-diving, crowd activity, or unauthorized use of equipment
Guest or vendor misconduct
